1. Acceptance of Terms

By accessing or using HAQ ("the Service"), operated by By-Haki ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

HAQ is an AI-powered business operating system designed for ASEAN SME founders. The Service is available at app.byhaki.com.

2. User Responsibilities

When using HAQ, you agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Use the Service only for lawful business purposes
• Not impersonate any person or entity
• Comply with all applicable local, national, and international laws

You are responsible for all activity that occurs under your account.

3. Subscriptions, Billing, and Refunds

HAQ offers paid subscription tiers. Payments are processed by Polar. HAQ does not store your credit card details directly.

• Billing cycle: Subscriptions are billed monthly unless otherwise stated.
• Free tier: HAQ may offer a limited free tier. Features and limits are subject to change.
• Refunds: You may request a full refund within 7 days of your initial subscription purchase. After 7 days, subscriptions are non-refundable. To request a refund, email [email protected].
• Cancellation: You may cancel your subscription at any time. Your access continues until the end of the current billing period.
• Price changes: We will notify you at least 30 days before any price increase. Founding member pricing is locked at the rate at time of purchase.

4. Prohibited Uses

You may not use HAQ to:

• Violate any applicable law or regulation
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the AI features to generate content that is illegal, harmful, or deceptive
• Resell, sublicense, or redistribute the Service without authorization
• Scrape, mine, or extract data from the Service using automated means
• Use the Service to spam or send unsolicited bulk communications

5. Intellectual Property

HAQ's Property

HAQ, its design, branding, code, AI models integration, and all related materials are the intellectual property of By-Haki. You may not copy, modify, distribute, or create derivative works of the Service.

Your Property

You retain full ownership of all data, content, and materials you create or upload to HAQ. This includes business data, marketing content, financial records, and any other user-generated content.

6. User-Generated Content License

By uploading or creating content on HAQ, you grant By-Haki a limited, non-exclusive, royalty-free license to use, store, process, and display your content solely for the purpose of operating and providing the Service to you.

We will not use your content for advertising, sell it to third parties, or use it for any purpose beyond operating HAQ for your benefit. When you delete your account, this license terminates.

7. AI-Generated Content

HAQ uses AI (powered by Anthropic's Claude API) to generate content suggestions, business insights, and marketing materials.

• AI-generated content is provided as suggestions only. You are responsible for reviewing and approving all content before use or publication.
• We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content.
• You own any content you create using HAQ's AI features, subject to Anthropic's usage policies.

8. Social Media Publishing

HAQ allows you to connect social media accounts and publish content to them. By using this feature:

• You authorize HAQ to publish content to your connected accounts only when you explicitly request it
• HAQ will never publish content automatically without your approval
• You are solely responsible for the content you publish through HAQ
• You agree to comply with each platform's terms of service

9. Termination

We may suspend or terminate your access to HAQ if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users, us, or third parties.

You may terminate your account at any time by contacting us at [email protected]. Upon termination:

• Your access to the Service will cease immediately
• Your data will be retained for 30 days, after which it will be permanently deleted
• Any outstanding subscription fees remain due

10. Disclaimer of Warranties

HAQ is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy of any AI-generated content or business insights.

11. Limitation of Liability

To the maximum extent permitted by applicable law, By-Haki shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of HAQ.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Brunei Darussalam, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Brunei Darussalam.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or in-app notification. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
